These T&C apply to all services provided by Fusengine Sàrl: website creation, web and mobile application development, graphic design, IT support and maintenance, hosting, artificial intelligence solutions and any other service offered in these fields.
Any departure from these terms must be agreed in writing between the parties.
Unless stated otherwise, quotes are valid for 30 days from their issue date.
An order is deemed accepted once the client approves the quote (signature, email or other means of confirmation).
Any subsequent change is subject to a written agreement and may lead to an adjustment of price and deadlines.
Prices are stated in Swiss francs (CHF), excluding tax, with VAT charged in addition where applicable.
Depending on the project, a deposit may be requested on order, the balance being payable according to the agreed schedule.
Invoices are payable within 30 days, unless otherwise agreed. In the event of late payment, default interest and any recovery costs may be charged.
Delivery times are indicative, unless a deadline is expressly guaranteed in writing.
A reasonable delay does not give rise to penalties or damages, unless otherwise agreed.
The client provides, in good time, all elements required for the service (content, technical access, approvals).
The client warrants that it holds the rights to the elements it supplies. Fusengine cannot be held liable for any delay or non-conformity caused by elements provided late, incomplete or not free of rights.
Fusengine remains the owner of the intellectual property rights in the developments, source code, architecture and reusable components it creates.
Once payment is complete, the client receives a non-exclusive, perpetual licence to use the delivered solution for its own needs.
Fusengine remains free to reuse and commercialise its generic components, base systems and pre-existing applications for other clients, provided that no confidential element, content or brand specific to the client is reused.
An exclusive transfer of intellectual property (assignment) to the client only takes place where expressly agreed in writing and against separate consideration.
Content, data and brand elements provided by the client remain its property. Third-party components and libraries remain subject to their own licences.
Maintenance, security updates and hosting are separate services, described and billed separately. Without a subscription, Fusengine does not provide updates after delivery.
Fusengine performs its services with diligence and professionalism.
Its liability is limited to the amount of the services invoiced and excludes indirect damage, loss of data or loss of business. Liability in the event of gross negligence or wilful misconduct remains reserved in accordance with Swiss law.
Each party undertakes to keep confidential the technical, commercial and strategic information exchanged in the course of the services.
The processing of personal data is described in our privacy policy, accessible from the footer of the site.
Unless the client objects in writing, Fusengine may name the client and present the work carried out as a reference (portfolio, communications), and add a discreet signature to its work (for example a link in the footer).
In the event of a serious breach, the contract may be terminated by the aggrieved party after formal notice has remained without effect for 30 days.
If the client terminates early, the services already performed remain due.
Fusengine corrects, free of charge, any non-conformity of the service against the quote that is reported to it in writing within 30 days of delivery.
This warranty does not cover changes made by the client or a third party, content supplied by the client, third-party services, or normal wear and changes to browsers, systems or dependencies occurring after delivery.
Neither party may be held liable for a failure to perform its obligations resulting from force majeure or an event beyond its control (in particular a major network or power outage, a third-party supplier failure, a cyberattack, a natural disaster or an act of authority).
The affected obligations are suspended for the duration of the event. If it continues beyond 60 days, either party may terminate the service concerned, the services already performed remaining due.
Fusengine may update its terms and conditions. The version applicable to a service is the one in force when the quote is approved.
These T&C are governed by Swiss law. The exclusive place of jurisdiction is Vevey (canton of Vaud), subject to any mandatory legal provision to the contrary.
